These Terms of Service (“Terms”) govern your access to and use of nonstopdiamondsolutions.com, including any related pages, forms, checkout pages, or online services that link to these Terms (collectively, the “Site”), and any purchase of products or services from Nonstop Diamond Solutions, LLC (“NDS,” “we,” “us,” or “our”).

By accessing the Site, submitting a quote request, placing an order, or purchasing products or services from NDS, you agree to be bound by these Terms. If you do not agree, do not use the Site or place an order.

1.      Eligibility and Authority

By using the Site or placing an order, you represent that you are at least 18 years old and have the legal authority to enter into these Terms.

If you place an order on behalf of a company, organization, contractor, government agency, or other business entity, you represent that you have authority to bind that entity to these Terms.

2.      Products and Services

NDS sells diamond blades, core bits, cup wheels, cutting tools, equipment, accessories, and related products and services. NDS may also offer custom branding, custom printing, technical support, quote assistance, shipping coordination, and related services.

Product descriptions, images, specifications, availability, and pricing are provided for general reference only and may change without notice. We make reasonable efforts to display products accurately, but we do not guarantee that descriptions, images, colors, dimensions, specifications, pricing, or availability are complete, current, or error-free.

3.      Quotes and Orders

Quote requests submitted through the Site are inquiries only and are not binding offers or contracts until confirmed in writing by NDS.

All orders are subject to acceptance, payment confirmation, product availability, fraud review, and inventory review.

We reserve the right to refuse, limit, reject, or cancel any order for any reason, including pricing errors, product availability issues, suspected fraud, shipping restrictions, payment issues, or errors in product information.

4.      Pricing and Payment

Prices are stated in U.S. dollars unless otherwise noted.

Prices, promotions, discounts, and product availability are subject to change without notice until an order is confirmed by NDS.

Payment is due at the time of order unless otherwise agreed in writing, such as for approved commercial accounts.

You represent that any payment information you provide is accurate and that you are authorized to use the payment method provided.

5.      Sales Tax

Applicable taxes may be charged based on the order, shipping destination, product type, and applicable law.

You are responsible for any taxes, duties, customs charges, import fees, or similar charges that apply to your purchase, except where NDS is required by law to collect and remit them.

6.      Shipping and Delivery

Shipping is governed by our Shipping Policy, which is incorporated into these Terms by reference.

Shipping times, delivery dates, and freight timelines are estimates only unless expressly confirmed in writing by NDS.

Risk of loss may transfer according to the shipping terms, carrier rules, or applicable law. You are responsible for ensuring that shipping information is accurate and complete.

7.      Returns and Refunds

Returns, exchanges, and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

By placing an order, you agree to the return eligibility requirements, exclusions, and procedures stated in the Refund Policy.

8.      Custom Branding, Custom Printing, and Special Orders

Custom branding, custom printing, special-order, and made-to-order products are produced according to customer-supplied specifications, artwork, logos, files, or instructions.

You are responsible for ensuring that you have the legal right to use any logo, trademark, trade name, artwork, image, design, file, or other content you submit to NDS.

You agree not to submit any content that infringes the rights of another party or violates any law.

Because custom-branded, custom-printed, special-order, and made-to-order products are produced specifically for you, they are not eligible for return unless defective or damaged upon arrival, as described in our Refund Policy.

9.      Product Use and Safety

Diamond blades, core bits, cutting tools, and related products are professional and industrial equipment that can cause serious injury, property damage, or death if misused.

You are responsible for selecting the correct product for your application and using all products safely and properly.

Products must be used only with compatible equipment, proper guards, proper mounting, proper operating speeds, proper personal protective equipment, and in accordance with all applicable manufacturer instructions, OSHA requirements, ANSI standards, industry standards, jobsite safety rules, and applicable laws.

You are responsible for verifying product compatibility, product suitability, equipment condition, machine speed, arbor size, material type, bond type, blade direction, and safe operating procedures before use.

NDS is not responsible for injury, death, product damage, equipment damage, jobsite damage, or other losses resulting from improper selection, installation, handling, storage, maintenance, modification, or use of any product.

10.  Professional Use

Products sold by NDS are intended for use by trained individuals, contractors, commercial users, or professionals familiar with the risks associated with cutting, drilling, grinding, sawing, and related applications.

You are responsible for ensuring that all users are properly trained and qualified.

11.  Intellectual Property

All content on the Site, including text, graphics, logos, product names, product images, photographs, videos, descriptions, designs, page layouts, icons, and other materials, is owned by NDS or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, display, publish, transmit, create derivative works from, or commercially exploit Site content without our prior written consent.

12.  User Conduct

You agree not to:

• Use the Site for any unlawful, fraudulent, harmful, or abusive purpose
• Submit false, misleading, or inaccurate information
• Interfere with the operation, security, or functionality of the Site
• Attempt to gain unauthorized access to the Site, servers, systems, accounts, or data
• Upload or transmit viruses, malware, harmful code, or disruptive content
• Use the Site to infringe the rights of NDS or any third party
• Use automated tools to scrape, copy, or harvest Site content without permission

13.  Warranty Disclaimer

Except as expressly stated in a written manufacturer warranty or written NDS warranty accompanying a product, all products, services, and Site content are provided “as is” and “as available,” without warranties of any kind, express or implied.

To the fullest extent permitted by law, NDS disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and suitability.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above disclaimers may not apply to you.

14.  Limitation of Liability

To the fullest extent permitted by law, NDS will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost business, downtime, lost data, replacement costs, or jobsite delays, arising out of or related to your use of the Site, products, services, or these Terms, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, NDS’s total liability for any claim relating to a product, order, service, or transaction will not exceed the amount you paid to NDS for the specific product, order, or service giving rise to the claim.

Nothing in these Terms is intended to limit liability in a way that is not permitted by applicable law.

15.  Indemnification

You agree to indemnify, defend, and hold harmless NDS, its owners, officers, employees, contractors, agents, affiliates, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Your use or misuse of the Site or products
• Your violation of these Terms
• Your violation of any law or regulation
• Your submission of artwork, logos, trademarks, files, or other customer-provided content
• Your improper product selection, installation, handling, storage, maintenance, modification, or use
• Your infringement of any third-party rights

16.  Manufacturer Information

Some products may be manufactured by third parties and may be subject to manufacturer specifications, instructions, warnings, and warranties.

You are responsible for reviewing and following all manufacturer instructions and safety requirements.

17.  Third-Party Links and Tools

The Site may include links to third-party websites, tools, payment providers, shipping providers, social media pages, or other external resources.

NDS is not responsible for third-party websites, services, content, policies, security, or practices.

18.  Force Majeure

NDS will not be responsible for delays, failures, or losses caused by events beyond our reasonable control, including natural disasters, severe weather, labor disruptions, supply chain delays, carrier delays, equipment failures, power outages, internet outages, cyber incidents, government actions, war, terrorism, pandemics, or other events outside our control.

19.  Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any dispute arising out of or related to these Terms, the Site, products, services, or any transaction with NDS will be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction and venue in those courts.

20.  Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site.

The Effective Date above reflects the date of the most recent revision. Your continued use of the Site after updated Terms are posted means you accept the updated Terms.
